QIAGEN Agrees to $12.1 Billion Takeover Offer From EQT Private Equity

QIAGEN, a molecular diagnostics and life sciences technology company with its North American headquarters in Germantown, Maryland, announced on October 21, 2026 an agreement supporting a voluntary all-cash public takeover offer from EQT Private Equity. The proposed transaction values QIAGEN at approximately €10.8 billion ($12.1 billion), including roughly $1.1 billion in net debt, and would take the publicly traded company private if completed.

“This transaction offers shareholders compelling value while positioning QIAGEN for its next phase of development under private ownership,” said Stephen H. Rusckowski, Chairman of QIAGEN’s Supervisory Board.

Inside the $12.1 Billion Takeover Agreement

Under the agreement, Crown NL Bidco B.V., a holding company indirectly controlled by EQT XI, will offer QIAGEN shareholders €46.50 in cash per share.

The offer represents a 40.3% premium over QIAGEN’s July 8, 2026 closing share price of €33.15, the last trading day before reports emerged regarding private equity interest. It also represents a 46.9% premium over the company’s three-month volume-weighted average share price of €31.66 through that date.

QIAGEN’s Supervisory and Managing Boards unanimously approved the business combination agreement following a review of strategic alternatives, including discussions with financial and strategic parties.

The proposed acquisition includes participation from Abu Dhabi Investment Authority (ADIA) through its subsidiary Luxinva S.A. and CPP Investments through a subsidiary.

Shareholder and Regulatory Approvals Remain Ahead

The proposed acquisition remains subject to several conditions before it can close.

These include:

  • Shareholder Acceptance: At least 50% of QIAGEN’s outstanding shares plus one additional share must be tendered.
  • Corporate Approvals: Shareholders must consider resolutions related to the transaction at an Extraordinary General Meeting, alongside additional board decisions.
  • Regulatory Clearance: The transaction requires merger control and foreign investment approvals.
  • Expected Closing: The companies anticipate completing the takeover in mid-2027.

The offer document must also receive clearance from Germany’s Federal Financial Supervisory Authority before the acceptance period begins.

EQT has secured committed equity and debt financing to fund the offer consideration and related transaction costs. The proposed acquisition is not subject to a financing condition.

If completed, the transaction would ultimately end QIAGEN’s listings on the New York Stock Exchange and Frankfurt Stock Exchange. Until then, QIAGEN will continue operating independently under its existing management.

What the Proposed Acquisition Means for Maryland’s Life Sciences Sector

QIAGEN’s North American headquarters in Germantown connects the proposed global acquisition to Maryland’s BioHealth Capital Region.

The company maintains manufacturing, warehousing, distribution, and administrative operations in Germantown, along with a facility in Frederick supporting development, manufacturing, and other services.

The transaction could represent a significant ownership change for a major life sciences employer with operations in Maryland. However, the companies have not disclosed specific new investments, facility expansions, or workforce changes for the region.

QIAGEN serves more than 500,000 customers worldwide across life sciences research and molecular diagnostics. Its technologies support activities ranging from biological sample processing to molecular analysis and clinical testing.
